1.1These Terms & Conditions (these "Terms") constitute a legally binding agreement between you and ETSP / Eternal Spectrum ("ETSP", "we", "us" or "our") governing your access to and use of the ETSP platform, websites, applications, application programming interfaces and related services (collectively, the "Platform" or the "Services"), accessible at train.etsp.com and related domains.

1.2By creating an account, selecting "I agree", accessing or otherwise using the Platform, you confirm that you have read, understood and agree to be bound by these Terms and by any policies, guidelines and documents incorporated by reference, including our Acceptable Use Policy and any supplementary terms governing specific features.

1.3If you do not agree to these Terms, you must not access or use the Platform. If you use the Services on behalf of an organization, you represent and warrant that you are duly authorized to bind that organization to these Terms, in which case "you" refers to that organization.

1.4You may use the Platform only where such use is lawful in your jurisdiction. These Terms are written in English and Traditional Chinese and both versions are presented together; in the event of any inconsistency between the language versions, the English version shall prevail to the extent permitted by applicable law.

2.1You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account and use the Platform.

2.2You represent that all registration information you provide is accurate, current and complete, and that you will maintain and update it promptly as circumstances change.

2.3You may not create an account or use the Platform if: (a) you are barred from doing so under applicable law, including export controls and trade sanctions; (b) your account has previously been suspended or terminated by us for breach of these Terms; or (c) you are accessing the Platform for purposes that we reasonably consider improper, including unauthorized competitive intelligence gathering.

2.4Accounts registered through invitation codes, referral links or referral cookies remain subject to these Terms in full.

3.1You are responsible for maintaining the confidentiality of your login credentials, including passwords and API tokens, and for all activities that occur under your account, whether or not authorized by you.

3.2You must notify us immediately at info@etsp.com if you suspect any unauthorized access to, or use of, your account. We will not be liable for any loss or damage arising from your failure to comply with this Section.

3.3You are responsible for all content and data you submit through the Platform, including documents uploaded to the virtual file system, knowledge and corpora fed to your AI agents, chat and training conversations, prompts, generated images and agent outputs.

3.4We reserve the right to suspend, restrict or terminate accounts that violate these Terms, pose security or legal risks, or remain inactive for prolonged periods, in each case upon notice where practicable.

3.5One natural person or organization may maintain one primary account. You must not create accounts by automated means, nor create or use multiple accounts to evade quotas, rate limits, billing or enforcement actions.

4.1Account information: your name, username or nickname, email address, hashed password, referral relationships, invitation status and membership tier.

4.2Usage data: login times, device and browser characteristics, IP address, pages and features accessed, feature interaction logs, crash diagnostics and aggregate analytics.

4.3Content data: documents you upload or generate; AI agent configurations, prompts and soul profiles; knowledge base entries; Wiki pages and compilation logs; chat, chatroom and training conversations; long-term memory and vector embeddings; generated images; wallet and transaction records; and outputs produced by your agents.

4.4Payment information: when you purchase memberships or services, billing details and transaction records are collected and processed through third-party payment processors (such as Stripe or FPS). Full payment card numbers are not stored on the Platform.

4.5Cookies and similar technologies: we use essential cookies for authentication and session management, and optional cookies to remember your language preference and referral attribution.

5.1To provide, operate, maintain and improve the Platform, including processing registrations, authenticating access, and delivering features such as RAG retrieval, Wiki graph compilation, long-term memory storage and AI agent deployment.

5.2To train, configure and operate your AI agents as instructed by you, including indexing your documents into retrieval corpora, compiling Wiki knowledge graphs, maintaining agent memories and executing your prompts.

5.3To communicate with you about your account, service announcements and security alerts, and — where you have opted in — news, updates and promotional offers.

5.4To monitor and analyze usage, detect and prevent abuse, fraud and security incidents, and enforce these Terms.

5.5To process payments, commissions, referrals, rewards and wallet transactions, where applicable.

5.6We do not use your content to train general-purpose foundation models for the benefit of third parties without your explicit consent. Your content is processed in order to operate and improve the Services for you.

6.1Service providers: we share information with vendors and hosting providers that perform services on our behalf — for example cloud hosting, email delivery, large language model inference providers and RAG infrastructure — each bound by contractual confidentiality and security obligations, and only to the extent necessary to perform the service.

6.2As you instruct: content you choose to publish or share — such as public agent web pages, published chat rooms, marketplace listings and referral pages — will be visible to others according to the visibility settings you configure.

6.3Legal compliance: we may access, preserve and disclose information where we in good faith believe it is required by law, regulation, legal process or governmental request, or necessary to detect, prevent or otherwise address fraud, security or legal issues, or to protect the rights, property or safety of ETSP, our users or the public.

6.4Business transfers: in connection with a merger, acquisition, financing, reorganization or sale of assets, your information may be transferred as part of that transaction, subject to continued protection consistent with these Terms.

6.5We do not sell your personal information, and we do not disclose your content except as described in these Terms.

7.1Your data is stored on secured infrastructure. Databases are hosted in protected environments with role-based access controls, and documents and files reside in access-controlled storage associated with your account.

7.2We apply reasonable technical and organizational safeguards, including encryption in transit (TLS), hashed passwords, scoped API tokens, per-tenant isolation of agent data and audit logging.

7.3No method of transmission or storage is completely secure. We cannot guarantee absolute security, and you acknowledge that you use the Platform at your own risk.

7.4We retain your information for as long as your account is active or as needed to provide the Services, comply with legal obligations, resolve disputes and enforce agreements. Upon account or content deletion, data may be irretrievably destroyed, subject to backup cycles and legal retention requirements.

7.5Embeddings, retrieved corpora and memory data processed by the RAG service may persist until you request deletion through the Platform's document or account deletion features.

8.1As between you and ETSP, you retain all right, title and interest in and to the content you submit to the Platform ("User Content"), including uploaded documents, prompts, knowledge bases, Wiki pages and agent configurations.

8.2You hereby grant ETSP a worldwide, non-exclusive, royalty-free, revocable licence to host, store, reproduce, process, index, transmit, adapt and display User Content, solely as reasonably necessary to operate, provide, secure and improve the Services for you, including building retrieval indices, embeddings and memories for your agents.

8.3You are solely responsible for User Content and for the data you use to train your agents, including its lawfulness, accuracy, quality and your right to submit it. You must not submit content that you do not have the right to use, or that breaches confidentiality obligations, privacy rights or intellectual property rights of any third party.

8.4Outputs generated by your AI agents derived from User Content belong to you, subject to third-party rights, applicable law and these Terms.

8.5If you delete User Content, we will remove it from active systems within a commercially reasonable period, except where retention is required by law or for legitimate operational records such as audit logs.

9.1You may use the Platform only for lawful purposes. You must not violate any applicable law or regulation, including export controls, trade sanctions and data protection legislation.

9.2You must not infringe, misappropriate or violate the intellectual property, privacy, confidentiality or other rights of any person, including by uploading content obtained in breach of confidence.

9.3You must not upload or process data you have unlawfully obtained, share personal data without a lawful basis, or use the Platform to compile personal profiles about others without their consent.

9.4You must not use the Platform or agent outputs to create or distribute malware, spam, phishing content, disinformation or content that is illegal, harmful, fraudulent, defamatory, hateful, harassing or violent, or that endangers minors.

9.5You must not gain unauthorized access to systems or accounts, probe or scan vulnerabilities, circumvent authentication, quotas or rate limits, overload or interfere with service integrity (including denial-of-service activity), or assist anyone else to do so.

9.6You must not reverse engineer, decompile or disassemble the Services, scrape or harvest data beyond what the Platform's interfaces expressly permit, or create derivative works of the Services, except as permitted by applicable law.

9.7You must not misrepresent your identity or affiliation, impersonate any person or entity, or generate synthetic likenesses or voices of real persons without their consent or other lawful basis.

9.8You must not use agent outputs to make solely automated decisions that have legal or similarly significant effects on individuals without appropriate human review and a lawful basis.

9.9You must not resell, sublicense or provide third parties with access to the Services for their own use without our prior written consent.

10.1The Platform integrates third-party services and content, including: (a) an external RAG (retrieval-augmented generation) server for document indexing and retrieval; (b) large language model providers (such as DeepSeek, Mistral, Zhipu AI and Ollama-hosted models) for inference; (c) payment processors (such as Stripe and FPS) for payments; (d) email and messaging providers; and (e) web search providers.

10.2When you use features that rely on third-party services, your data — including prompts, retrieved context, documents and content — will be transmitted to those providers as reasonably necessary to perform your request. Such transmissions are additionally governed by the providers' own terms and privacy policies.

10.3We are not responsible for the acts, omissions, availability, accuracy or content of third-party providers, and their processing of data may be subject to different legal regimes, including cross-border data transfer rules.

10.4Where you enable public-facing features (such as public agent web pages, A2A chat rooms or marketplace listings), your agents may interact with third parties; you remain responsible for those interactions and their compliance with these Terms and applicable law.

10.5Third-party model providers may retain inputs and outputs in accordance with their own policies. You should not submit confidential information to features routed through external providers unless you have reviewed and accepted the associated terms.

11.1The Platform uses artificial intelligence and machine learning technologies, including large language models, retrieval systems and generative models. AI-generated outputs may be inaccurate, incomplete, misleading, outdated or fabricated (often described as "hallucinations").

11.2AI outputs do not constitute legal, medical, financial, professional or other advice, and must not be relied upon as the sole basis for any decision. You must independently verify important information, including facts, citations, figures and calculations, before relying on or publishing it.

11.3We do not warrant that outputs will meet your requirements, be error-free, uninterrupted, current or complete, or achieve any particular result or outcome.

11.4You are responsible for reviewing, validating and appropriately using outputs, including complying with laws applicable to your use case, such as disclosure or labeling obligations when publishing AI-generated content.

11.5AI outputs may reflect biases present in underlying training data or retrieval corpora. We do not endorse any opinion, statement or recommendation expressed in AI outputs.

12.1The Platform and all its components — including software, source and object code, architecture, design, text, graphics, logos, user interfaces, trademarks and infrastructure — are owned by ETSP and its licensors and are protected by copyright, trademark and other intellectual property laws.

12.2Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive and non-transferable licence to access and use the Platform for its intended purpose during the term of these Terms.

12.3No title to or ownership of any intellectual property is transferred to you under these Terms. The ETSP names, logos and trademarks may not be used without our prior written consent.

12.4If you submit feedback, suggestions or ideas about the Platform, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use and incorporate them without restriction, attribution or compensation, and you waive any moral rights in them to the extent permitted by law.

12.5You must respect third-party intellectual property rights when uploading content, configuring agents and publishing outputs.

13.1THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, NON-INFRINGEMENT AND QUIET ENJOYMENT.

13.2We do not warrant that the Platform will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that the Platform will be compatible with any particular device or software.

13.3We make no representations or warranties regarding the availability, quality, accuracy or continuity of third-party models and services used by the Platform.

13.4Nothing in these Terms excludes or limits any liability or warranty that cannot be excluded or limited under applicable mandatory law, including consumer protection legislation.

14.1TO THE MAXIMUM EXTENT PERMITTED BY LAW, ETSP AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, CONTRACTORS AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA OR BUSINESS OPPORTUNITY, IN EACH CASE ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PLATFORM.

14.2OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID OR ARE DUE TO PAY US FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) HONG KONG DOLLARS FIVE HUNDRED (HKD 500).

14.3The limitations and exclusions in this Section apply regardless of the theory of liability and even if we have been advised of, or should have known of, the possibility of such damages, and notwithstanding any failure of essential purpose of any limited remedy.

16.1You agree to indemnify, defend and hold harmless ETSP, its affiliates and their respective directors, officers, employees and agents from and against any and all claims, actions, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) your User Content; (b) your use or misuse of the Platform; (c) your violation of these Terms or any applicable law or regulation; (d) your violation of any right of any third party, including intellectual property, privacy and confidentiality rights; and (e) your breach of Section 15 (Information & Data Misuse Disclaimer).

16.2We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification, in which case you shall cooperate fully with us in asserting any available defenses.

17.1You may stop using the Platform and delete your account at any time, subject to retention rules under these Terms and applicable law.

17.2We may suspend or restrict your access to the Platform, in whole or in part, immediately and without prior notice, if we reasonably believe that you have breached these Terms, that you pose a legal, security or reputational risk to us or other users, or where suspension is required by law.

17.3We may terminate these Terms and your account for any reason upon thirty (30) days' notice to your account email. Upon termination for convenience, we will provide a reasonable period for you to export your User Content.

17.4Upon termination for any reason: (a) your right to access and use the Platform ceases immediately; (b) we may deactivate or delete your account, User Content and associated data; and (c) provisions which by their nature should survive — including Sections 8, 11, 13 through 16, 18 through 20 — shall survive.

17.5Termination does not relieve you of amounts accrued prior to termination, and no refunds are provided except as expressly stated or required by law.

18.1We may modify or revise these Terms from time to time. The "Effective Date" shown above indicates the current version of these Terms.

18.2Where we make material changes, we will notify you through the Platform (for example, by prominent notice or by email to your account email) at least seven (7) days before the revised Terms take effect, where practicable.

18.3By continuing to access or use the Platform after the revised Terms take effect, you agree to be bound by the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and may delete your account.

18.4We may make available preview, experimental or beta features subject to supplementary terms; those supplementary terms govern your use of such features to the extent of any conflict with these Terms.

19.1These Terms and any dispute, claim or controversy arising out of or relating to them or the Platform shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of laws principles.

19.2Subject to Section 19.3, the parties irrevocably submit to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region for the resolution of any such dispute.

19.3Nothing in this Section deprives any consumer of the protections afforded by the mandatory law of their country of residence, including the right to bring claims in that jurisdiction where such right cannot be waived.

20.2Notifications to ETSP are deemed given when actually received at the email address above. Critical notices to you may be delivered to your account email and shall be deemed received twenty-four (24) hours after sending.

20.3If any provision of these Terms is found unlawful, void or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
